1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of EasyFlip (“EasyFlip,” “we,” “us”). By creating an account or using the app, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the app.
2. The Service
EasyFlip is a tool that helps resellers create, optimize with AI, and cross-list items across multiple online marketplaces, and track sales and inventory. Features and supported marketplaces may change over time.
3. Subscriptions & Billing
EasyFlip is offered on a freemium basis: a free tier with limited usage, plus paid subscription plans that unlock higher limits and additional features.
- Paid plans are billed in advance on a recurring basis (e.g. monthly or annually) until cancelled.
- Subscriptions renew automatically unless cancelled before the end of the current billing period.
- Where you purchase through a platform’s in-app purchase system (such as the Apple App Store), billing, renewals, and refunds are handled under that platform’s rules and your platform account settings.
- Except where required by law or a platform’s policy, fees are non-refundable for partial periods.
- We may change pricing prospectively with reasonable notice.
4. Your Account & Responsibilities
- You are responsible for the accuracy of the information in your account and your listings.
- You are responsible for safeguarding your password and for all activity under your account.
- You must have the rights to the photos, text, and other content you upload, and you must not list counterfeit, illegal, stolen, or prohibited items.
- You must use the app only for lawful purposes and must not abuse, reverse-engineer, or disrupt the service.
5. Marketplace Terms Compliance
EasyFlip helps you publish to third-party marketplaces, but each marketplace has its own terms of service, policies, and rules. You are solely responsible for complying with the terms of every marketplace you connect and publish to, including their rules on automation, listing content, fees, and prohibited items. EasyFlip is not affiliated with, endorsed by, or operated by those marketplaces, and we are not responsible for actions a marketplace takes against your account (including suspensions or removals).
6. AI-Generated Content Disclaimer
EasyFlip uses third-party AI models to analyze photos and to generate and optimize listing text. AI output is produced automatically and may be inaccurate, incomplete, or unsuitable for a given item. You are responsible for reviewing, editing, and verifying all AI-generated titles, descriptions, prices, and metadata before publishing. AI suggestions are not professional, legal, financial, or appraisal advice, and we make no guarantee about sales results, pricing accuracy, or marketplace acceptance.
7. Intellectual Property
The EasyFlip app, its design, and its software are owned by us and our licensors. You retain ownership of the content you upload. By using the app, you grant us a limited license to process and transmit that content as needed to provide the service (for example, sending it to AI providers and to the marketplaces you publish to).
8. Termination
You may stop using the app and delete your account at any time from within the app. We may suspend or terminate access for violations of these Terms or for conduct that harms the service or other users. Deleting your account is permanent and removes your account data as described in the Privacy Policy.
9. Disclaimers
The app is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the app will be uninterrupted, error-free, or that any AI output or pricing suggestion will be accurate.
10. Limitation of Liability
To the maximum extent permitted by law, EasyFlip and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to your use of the app. Our total aggregate liability for any claim relating to the app will not exceed the greater of the amount you paid us in the twelve months before the claim or USD $50.
11. Indemnification
You agree to indemnify and hold harmless EasyFlip and its operators from claims, damages, and expenses arising from your content, your use of the app, or your violation of these Terms or of any marketplace’s terms.
12. Governing Law
These Terms are governed by the laws of [State/Country — to be finalized before public launch], without regard to its conflict-of-laws principles. The governing jurisdiction will be finalized before public launch.
13. Changes to These Terms
We may update these Terms as the product and legal requirements evolve. We will revise the “Last updated” date above and, for material changes, provide additional notice in the app. Continued use after changes take effect constitutes acceptance.
